Four documents people confuse constantly
| Document | What it actually says | When it is issued |
|---|
Can a company withhold it?
No central statute compels an employer to issue a relieving letter. The obligation comes from the employment contract and company policy, not from an Act of Parliament. That surprises people on both sides of the argument, and it is worth being clear about rather than pretending otherwise.
What the sources do agree on is the practice:
Commentary also suggests that withholding purely as leverage can be challenged as an unfair labour practice. We have seen that asserted more than once but have not been able to verify a specific judgment, so treat it as a risk worth avoiding rather than settled law.
If you are the employee and the letter never comes: your resignation email and its acknowledgement, payslips, Form 16, the PF passbook and your EPFO service history together evidence the employment and its end dates. Most background checks will accept that combination.
| Separation | What the letter must say, and why |
|---|
A generic template handles the first case and quietly misstates the rest. If notice was waived and the letter does not say so, the dates imply the person walked out early. If a shortfall was recovered, saying so protects the company against a later claim that the settlement was wrong. And for abandonment there should be no relieving letter at all, because issuing one records a proper release you are simultaneously disputing.
Issue it after clearance, not before. The letter records that formalities are complete. Issuing it while assets are outstanding gives away the only practical leverage you have.
Keep the conduct line factual. “Conduct was satisfactory” is safe. Praise that cannot be substantiated is a problem if the person is later dismissed elsewhere and the reference is examined; criticism is a problem for obvious reasons. Many employers now say nothing at all, which is why the line is optional here.
Get it acknowledged. A signed acknowledgement on your copy settles later arguments about whether and when it was issued.
Dates have to be consistent. The relieving date should be the last working day, and the letter date should not precede it. The generator blocks the obvious contradictions rather than letting you print something that invites a query.
What this does not do. It does not compute the full and final settlement, generate an experience certificate on its own, or produce a no-objection certificate — SalaryBox has separate tools for those, linked from the last tab.
Is a relieving letter legally compulsory in India?
No central law requires one. It comes from the employment contract and company policy. In practice it is close to essential, because background verification for most employers, and especially for government and public-sector roles, asks for it.
What is the difference between a relieving letter and an experience letter?
A relieving letter confirms you were formally released and states the date. An experience letter describes the role, the period and often the conduct. A background check wants the release date, which only the relieving letter carries. Plenty of employers combine the two, and this tool can produce the combined version.
The employee absconded. Can I just issue a relieving letter to close the file?
Issuing one undercuts you. A relieving letter records a proper release after completed formalities — exactly what you would be disputing if you are recovering notice pay or unreturned property. Record the abandonment instead, complete the settlement, and issue a relieving letter later if the matter is resolved.
Can I date the letter before the last working day?
You can prepare it in advance, but do not date it earlier than the relieving date. A letter saying someone was relieved on a date that had not yet arrived is the kind of inconsistency a verification agency picks up.
Should the letter mention the reason for leaving?
Generally no. A relieving letter records the fact of release and the date. Reasons invite argument and serve no purpose in a background check. Where services were terminated, state the fact neutrally and leave cause out of it.
The employee asks us to backdate it. Should we?
No. Backdating a document that a third party will rely on is a misrepresentation, and it is the employer who carries the consequence when the dates do not match payroll, PF contributions or the Form 16.
Do we need to issue it on letterhead with a seal?
Letterhead is near-universal practice and verification agencies expect it. A seal is common and worth including where it is your practice. Neither is a legal requirement, but a letter on plain paper with no identifying marks invites questions.
A relieving letter confirms that an employee was formally released from service and records the date of relieving; an experience letter or service certificate describes the role and period of employment. No central statute in India compels an employer to issue a relieving letter — the obligation arises from the employment contract and company policy — though it is widely treated as essential for background verification. Commentary indicates that withholding it purely as leverage, where dues are settled and formalities complete, may be challenged as an unfair labour practice; we have not been able to verify a specific judgment on that point and it is presented as a risk rather than settled law. Where an unserved notice period or unreturned property is outstanding, recovery is generally limited to the documented shortfall. This is a document generator for HR use, not legal advice — have the wording reviewed against your employment contracts and your state’s rules. Nothing you enter leaves your browser. Updated for the new labour codes in force from 21 November 2025, including the two-working-day full and final settlement timeline under the Code on Wages, 2019, and the Model Standing Orders, 2026 (effective 8 May 2026) that mandate service certificates within 10 days of exit.
A relieving letter is a formal document issued by an employer to an employee confirming that the employee has been officially relieved from their duties effective from their last working day. It certifies that the employee has completed their notice period (or it has been waived), handed over all responsibilities and company assets, and is free to join another organisation.
In India’s employment ecosystem, a relieving letter serves a specific and critical purpose — it ends the employment relationship on record. Most employment contracts in India include an exclusivity clause: the employee can work for only one employer at a time. The relieving letter is the documentary proof that this obligation has ended. Without it, a new employer cannot confirm that the candidate is not still technically employed elsewhere, which creates legal and compliance concerns during background verification.
A relieving letter is not the same as an experience letter. The relieving letter confirms that you have been released from employment. The experience certificate details what you did during that employment — your role, contributions, and tenure. Both are important, but they serve different purposes in the offboarding and onboarding process.
There is no single central statute that explicitly mandates every employer to issue a relieving letter using that exact term. However, the practical and legal landscape makes it effectively compulsory for most organised-sector employers.
The Model Standing Orders, 2026, effective from 8 May 2026 under the Industrial Relations Code, 2020, mandate that employers in the services sector must provide a service certificate within 10 days of the employee’s service ending — whether by discharge, termination, retirement, or resignation. While the term used is “service certificate,” this obligation covers the substance of what a relieving letter provides.
Under Section 17(2) of the Code on Wages, 2019 (in force from 21 November 2025), the full and final settlement of wages must be completed within two working days of the employee’s last working day. The relieving letter typically cross-references this settlement status. Learn how to compute F&F settlements using our full and final settlement calculator.
NASSCOM data indicates that 97% of corporate employers in India issue relieving letters as standard exit documentation. Almost every new employer in India requests a relieving letter during the joining process. Background verification agencies treat its absence as a red flag. Without a relieving letter, an employee may face difficulties joining a new company, especially in IT, banking, BFSI, and government sectors.
For HR teams managing compliance across multiple labour laws, our labour code compliance checklist covers the complete exit documentation requirements.
A complete and professionally drafted relieving letter must contain the following elements. Our generator fills in all of these automatically based on your inputs.
Company name and registered address (printed on company letterhead). Letter reference number (for internal tracking and future verification, for example HR/RL/2026/0087). Date of issuance.
Employee’s full legal name (must match the appointment letter exactly — mismatched names are a leading cause of background verification failures). Employee ID or code. Designation and department at the time of exit. Date of joining. Last working day (LWD).
Confirmation that the employee has resigned and the resignation has been accepted. Confirmation that the notice period has been served in full (or waived/bought out, with dates). Confirmation that all company assets (laptop, ID card, access cards, mobile, etc.) have been returned. Confirmation that knowledge transfer and handover of responsibilities is complete. Status of full and final settlement (completed, or reference to separate F&F statement).
A reminder that confidentiality, non-disclosure, and intellectual property obligations survive the end of employment and remain enforceable as per the employment agreement.
Appreciation for the employee’s contributions. Best wishes for future endeavours. Name, designation, and signature of the authorised signatory (typically the HR head or reporting manager).
Input your company name, address, and the letter reference number. If you have a company logo, you can upload it to appear on the generated letter. Select the date of issuance.
Fill in the employee’s full name, employee ID, designation, department, date of joining, and last working day. The generator uses these to populate the letter body, including the tenure calculation.
Confirm whether the notice period was served in full, waived, or bought out. Indicate whether company assets have been returned and handover is complete. Specify the F&F settlement status — completed or pending.
The generator shows a live preview of the letter as you fill in the details. Review all information for accuracy — names, dates, and employee codes must match official records exactly. Download the letter as a PDF, print it on your company letterhead, get it signed by the authorised person, and issue it to the employee.
These four documents are often confused. Here is how they differ.
Issued by the employer to the employee. Confirms the employee has been released from duties. States the last working day. Focuses on the end of the employment relationship. Required by the new employer during joining.
Issued by the employer to the employee. Details the employee’s role, responsibilities, and performance during their tenure. Focuses on what the employee did during employment. Used for career advancement and future job applications. Generate one using our experience certificate generator.
Submitted by the employee to the employer. Communicates the employee’s decision to leave. States the intended last working day. Triggers the exit process.
Issued by the employer. Similar to a relieving letter but often more detailed, including the employee’s conduct and character during employment. Mandated within 10 days under the Model Standing Orders, 2026 for services sector establishments.
The relieving letter should be issued on or within a few days of the employee’s last working day. Best practice is to issue it on the last working day itself, along with the F&F settlement statement.
IT and services companies typically issue within 1-3 days of LWD. Manufacturing companies may take 7-15 days (depending on asset verification). The Model Standing Orders, 2026 mandate service certificates within 10 days of exit. Under the Code on Wages, the F&F settlement (which the relieving letter references) must be completed within 2 working days.
If an employer refuses to issue a relieving letter without valid reason (such as outstanding dues or pending asset return), the employee can send a formal written request via email (keeping a documented trail). If that fails, send a legal notice demanding issuance along with any pending salary or documents. File a complaint with the labour commissioner if the employer still does not comply. Approach the labour court or civil court as a last resort.
Valid reasons for temporary delay include: pending return of company assets, unresolved financial obligations (notice period buyout, advance recovery), ongoing investigation into misconduct, or unsigned non-disclosure agreements required by the employment contract.
Our generator supports all common exit scenarios by adjusting the language and confirmations based on your selections.
The most common scenario. The employee resigned, served the full notice period, completed handover, and is being relieved on the agreed last working day. The letter confirms that the resignation was accepted and the notice obligation has been fulfilled.
When the employee resigns but requests early release, the employer may waive the remaining notice period — either with or without a notice period buyout deduction. The letter states the notice period was waived and references the buyout terms. Use our FnF calculator to compute the buyout amount.
Some employers release employees immediately upon resignation, especially when the role involves sensitive information. The letter confirms immediate release with no notice period served.
For fixed-term employees whose contract has expired, the relieving letter confirms that the employment ended on the contract’s natural expiry date. Under the Code on Social Security, 2020, fixed-term employees are entitled to pro-rata gratuity after one year of service.
For employees retiring on superannuation, the letter thanks them for their years of service and confirms retirement effective on the specified date. Calculate the retirement-linked gratuity with our gratuity calculator and leave encashment with our leave encashment calculator.
When employment is terminated by the employer (with or without cause), the relieving letter confirms the termination date and the employer’s decision. The tone is neutral and factual. This is typically issued alongside a separate termination letter that states the reasons.
The employee’s name in the relieving letter must match their name in the appointment letter and PAN card. Any discrepancy — even a missing middle name or a spelling variation — can cause background verification failures at the new employer. This is the single most common error in relieving letters.
Assign a unique reference number (such as HR/RL/2026/0087) so the letter can be verified later when the new employer calls for a background check. Maintain a register of all relieving letters issued.
A relieving letter is a formal record, not a farewell note. State facts — dates, designations, and confirmations. Save the praise for the experience letter. One line of appreciation and well-wishes is appropriate; paragraphs of gratitude are not.
Do not put F&F amounts in the relieving letter. Instead, cross-reference the separate F&F settlement statement. This keeps the relieving letter clean and avoids disputes about figures in a widely circulated document. Understand the complete F&F process in our guide to simplifying full and final settlements.
A one-line reminder that NDA and IP obligations survive the employment is standard practice. This does not create new obligations — it reinforces existing contractual terms. Omitting it can weaken the employer’s position if a confidentiality dispute arises later.
A relieving letter on plain paper has no credibility. Always issue on official company letterhead with an authorised signatory. Digital signatures are acceptable and increasingly common.
The LWD in the relieving letter must match the company’s attendance records and the payroll for that month. A mismatch creates problems during background verification and can trigger questions about whether the employee was actually relieved on that date.
Background verification teams verify relieving letters by contacting the former employer with the employee ID. If the ID is missing from the letter, verification slows down or fails.
If the F&F has outstanding items (such as recovery of notice period shortfall or company assets), issuing the relieving letter without noting this creates ambiguity. Either complete the F&F first, or state in the letter that the F&F settlement is subject to final clearance.
Phrases like “we may take further action” or “subject to pending investigations” without specifics make the letter hostile and can harm the employee’s prospects at the new employer. If there are genuinely pending issues, state them precisely. Otherwise, keep the language neutral and professional.
Maintain a signed copy of every relieving letter in the employee’s exit file. This is essential for responding to future reference checks and for compliance audits. Our payroll and HR system helps you maintain systematic employee records.
Typically issued within 1-2 days of LWD. Often digital (PDF with digital signature). May include IP assignment and source code return confirmation. The notice period is commonly 60-90 days in mid-to-senior roles.
Includes confirmation that the employee has no pending customer account access. May reference regulatory clearances where applicable. Background verification is particularly strict — name mismatches are flagged immediately.
Includes confirmation of safety equipment and protective gear return. May reference workman category and applicable standing orders. Under the Industrial Relations Code, retrenchment provisions apply for workmen with continuous service.
Often informal — our generator helps standardise the format. ESOP or equity grant status may need to be referenced. The F&F may include accelerated or forfeited vesting details.
Follows prescribed formats under the relevant service rules. Includes pension or terminal benefits status. Issued through the established departmental hierarchy.
While most companies require a relieving letter during onboarding, some situations make it unavailable — the employer refuses, the company has shut down, or the exit was contentious. Here is how to handle it.
Resignation email acceptance (showing your employer acknowledged the resignation). Last salary slip showing the final month of employment. PF transfer receipt (UAN transfer from old employer to new employer confirms exit). Bank statement showing final F&F credit. Declaration letter stating the circumstances.
Some employers accept a self-declaration from the employee stating the reasons the relieving letter is unavailable, along with a commitment to provide it when received. This is common in startups and for employees coming from companies that have ceased operations.
If the employer is deliberately withholding the letter, send a legal notice. Most employers issue the letter after receiving a notice rather than face a labour complaint. Understand your rights and remedies under the statutory compliance framework in India.

A relieving letter is a formal document issued by an employer confirming that an employee has been officially relieved from their duties effective from their last working day. It is important because most new employers in India require it during background verification to confirm that the candidate is no longer employed elsewhere. Without it, joining a new company can be delayed or blocked — especially in IT, banking, and government sectors.
There is no single central statute that explicitly mandates every employer to issue a “relieving letter” by that name. However, the Model Standing Orders, 2026 (effective 8 May 2026) require services sector employers to issue a service certificate within 10 days of the employee’s exit. In practice, 97% of corporate employers in India issue relieving letters as standard exit documentation. An employer who refuses without valid reason can face a labour complaint or legal notice.
A relieving letter confirms that the employee has been released from employment — it focuses on the end of the relationship (last working day, notice period, handover, F&F). An experience letter details what the employee did during their employment — it focuses on the role, responsibilities, contributions, and tenure. Both are typically issued at exit, but they serve different purposes. The new employer usually requires both.
Best practice is to issue the relieving letter on the employee’s last working day or within 1-3 days. Under the Model Standing Orders, 2026, a service certificate must be issued within 10 days. Under the Code on Wages, the F&F settlement (which the letter references) must be completed within 2 working days. Delaying the relieving letter beyond 10-15 days without valid reason is unprofessional and potentially actionable.
A complete relieving letter must include the company name and letterhead, letter reference number, date of issuance, employee’s full name and employee ID, designation and department, date of joining, last working day, confirmation that the resignation was accepted and the notice period served, confirmation of handover and asset return, F&F settlement status, a reminder of post-employment confidentiality obligations, and the authorised signatory’s name and signature.
An employer can temporarily delay the relieving letter for valid reasons — such as pending return of company assets, unresolved financial obligations, or ongoing investigation. However, an employer cannot indefinitely withhold the letter if the employee has fulfilled all exit obligations. If your employer refuses without valid reason, you can send a formal written request, escalate with a legal notice, file a complaint with the labour commissioner, or approach the labour court.
It is difficult but possible. Some employers accept alternative documentation — resignation acceptance email, last salary slip, PF transfer receipt, or a self-declaration explaining why the relieving letter is unavailable. Startups and smaller companies are generally more flexible. Large corporates and government organisations typically require the relieving letter without exception.
The Industrial Relations Code, 2020 (in force from 21 November 2025) and the Model Standing Orders, 2026 (effective 8 May 2026) mandate service certificates within 10 days of exit for services sector establishments. The Code on Wages requires F&F settlement within 2 working days, which the relieving letter cross-references. These timelines put a legal framework around what was previously just good HR practice.
